NORDSTROM INC. $24 is a hold. The retailer (New York symbol JWN; Consumer sector; Shares outstanding: 164.9 million; Market cap: $4.0 billion; Dividend yield: 3.2%; Takeover Target Rating: Highest; www.nordstrom.com) owns and operates 381 stores in the U.S.. Those locations sell upscale clothing and footwear. The company has accepted a takeover offer of $24.25 a share from members of the Nordstrom family, who control about 33.4% of the shares, in partnership with Mexican retailer El Puerto de Liverpool, which owns about 10% of the shares. As well, investors will receive a special dividend of up to $0.25 a share just prior to the takeover. That’s on top of the regular quarterly payment of $0.19 a share; the annual rate of $0.76 yields 3.2%. Assuming shareholders and regulators approve, the company expects to complete the transaction in mid-2025. Shareholders should tender to the takeover offer.
